關于培育發展工程總承包和工程項目管理企業的指導意見

各省(sheng)、自治區建(jian)設廳,直轄市建(jian)委(規委),國(guo)務院(yuan)有關部門建(jian)設司(si),總后基(ji)建(jian)營房部,新疆(jiang)生產建(jian)設兵(bing)團(tuan)建(jian)設局,中央管理的有關企業:

為了深化(hua)我國(guo)工程(cheng)建設項目(mu)組(zu)織實施方(fang)式(shi)改革,培育發展專業化(hua)的(de)工程(cheng)總承包和(he)工程(cheng)項目(mu)管理企業,現提出(chu)指導(dao)意(yi)見如下:

一、推行工程總承包(bao)和(he)工程項目管理的重要(yao)性和(he)必(bi)要(yao)性

工(gong)(gong)(gong)程(cheng)總承包(bao)和(he)工(gong)(gong)(gong)程(cheng)項目(mu)管理(li)是國(guo)際(ji)通(tong)行的(de)工(gong)(gong)(gong)程(cheng)建設項目(mu)組(zu)織實(shi)施方式。積極(ji)推行工(gong)(gong)(gong)程(cheng)總承包(bao)和(he)工(gong)(gong)(gong)程(cheng)項目(mu)管理(li),是深化我(wo)國(guo)工(gong)(gong)(gong)程(cheng)建設項目(mu)組(zu)織實(shi)施方式改革,提高(gao)工(gong)(gong)(gong)程(cheng)建設管理(li)水平(ping),保證工(gong)(gong)(gong)程(cheng)質量和(he)投(tou)資效益,規范(fan)建筑市(shi)場秩序的(de)重要措施;是勘察、設計、施工(gong)(gong)(gong)、監理(li)企業調(diao)整經(jing)營(ying)結構,增(zeng)強綜合實(shi)力(li),加快與國(guo)際(ji)工(gong)(gong)(gong)程(cheng)承包(bao)和(he)管理(li)方式接軌(gui),適應社(she)會主義市(shi)場經(jing)濟發展(zhan)和(he)加入世(shi)界貿易組(zu)織后新形勢的(de)必然要求;是貫(guan)徹黨的(de)十六大關(guan)于“走出去”的(de)發展(zhan)戰略(lve),積極(ji)開拓國(guo)際(ji)承包(bao)市(shi)場,帶動我(wo)國(guo)技術、機電設備及工(gong)(gong)(gong)程(cheng)材料的(de)出口,促進勞務(wu)輸出,提高(gao)我(wo)國(guo)企業國(guo)際(ji)競爭力(li)的(de)有效途(tu)徑。

各(ge)級(ji)建設行(xing)政(zheng)主管(guan)(guan)部門要統(tong)一(yi)思(si)想(xiang),提高認識,采取(qu)有效措施,切實加強對(dui)工(gong)程(cheng)總承(cheng)包和工(gong)程(cheng)項(xiang)目管(guan)(guan)理(li)(li)活(huo)動(dong)的指導,及(ji)時總結(jie)經(jing)驗,促進我國(guo)工(gong)程(cheng)總承(cheng)包和工(gong)程(cheng)項(xiang)目管(guan)(guan)理(li)(li)的健康發(fa)展。

二、工程總承包的基本概念和主要方式

(一(yi))工(gong)(gong)程(cheng)總(zong)(zong)承包(bao)(bao)是(shi)指從事工(gong)(gong)程(cheng)總(zong)(zong)承包(bao)(bao)的企業(ye)(以(yi)下(xia)簡稱工(gong)(gong)程(cheng)總(zong)(zong)承包(bao)(bao)企業(ye))受業(ye)主委托(tuo),按(an)照合(he)同約定對工(gong)(gong)程(cheng)項目的勘察(cha)、設計、采購、施(shi)工(gong)(gong)、試(shi)運行(竣工(gong)(gong)驗(yan)收)等實(shi)行全過程(cheng)或若(ruo)干階段(duan)的承包(bao)(bao)。

(二)工程總(zong)(zong)承(cheng)包(bao)企(qi)(qi)業(ye)按照(zhao)合(he)同(tong)約定(ding)(ding)對(dui)(dui)工程項目的(de)(de)質量(liang)、工期(qi)、造價(jia)等向業(ye)主負責。工程總(zong)(zong)承(cheng)包(bao)企(qi)(qi)業(ye)可依法將所承(cheng)包(bao)工程中(zhong)的(de)(de)部分(fen)工作(zuo)發包(bao)給具有相(xiang)應資質的(de)(de)分(fen)包(bao)企(qi)(qi)業(ye);分(fen)包(bao)企(qi)(qi)業(ye)按照(zhao)分(fen)包(bao)合(he)同(tong)的(de)(de)約定(ding)(ding)對(dui)(dui)總(zong)(zong)承(cheng)包(bao)企(qi)(qi)業(ye)負責。

(三)工(gong)程總承包的具體方式、工(gong)作內容(rong)和責任等,由(you)業主(zhu)與(yu)工(gong)程總承包企(qi)業在合同中約定。工(gong)程總承包主(zhu)要(yao)有如下方式:

1、設計(ji)采購施(shi)工(gong)(EPC)/交鑰(yao)匙(chi)總承包

設計采(cai)購施(shi)(shi)工(gong)(gong)(gong)總(zong)承(cheng)包是指工(gong)(gong)(gong)程(cheng)(cheng)總(zong)承(cheng)包企業按照(zhao)合同約定,承(cheng)擔(dan)工(gong)(gong)(gong)程(cheng)(cheng)項目的(de)設計、采(cai)購、施(shi)(shi)工(gong)(gong)(gong)、試運行服務等工(gong)(gong)(gong)作,并對承(cheng)包工(gong)(gong)(gong)程(cheng)(cheng)的(de)質量、安全(quan)、工(gong)(gong)(gong)期、造價全(quan)面負(fu)責。

交(jiao)鑰匙總(zong)承包是設計采購施工(gong)總(zong)承包業(ye)務和責任的延伸,最終是向業(ye)主(zhu)提交(jiao)一(yi)個滿足使用功能、具(ju)備使用條(tiao)件的工(gong)程項目。

2、設計—施(shi)工總承包(D-B)

設計(ji)—施(shi)工(gong)(gong)總(zong)承包是(shi)指工(gong)(gong)程(cheng)總(zong)承包企業按照合同(tong)約定,承擔工(gong)(gong)程(cheng)項目設計(ji)和施(shi)工(gong)(gong),并對承包工(gong)(gong)程(cheng)的質量(liang)、安全、工(gong)(gong)期、造價全面負責。

根據(ju)工程(cheng)項目的(de)不同規模、類型和(he)業主要求(qiu),工程(cheng)總(zong)(zong)承包還可采(cai)用設計(ji)—采(cai)購總(zong)(zong)承包(E-P)、采(cai)購—施工總(zong)(zong)承包(P-C)等方式(shi)。

三(san)、工程(cheng)項目(mu)管理(li)的基本概念和主要方式

(一)工程(cheng)(cheng)項目(mu)(mu)管(guan)(guan)理是指從事工程(cheng)(cheng)項目(mu)(mu)管(guan)(guan)理的企(qi)業(ye)(ye)(以(yi)下簡稱工程(cheng)(cheng)項目(mu)(mu)管(guan)(guan)理企(qi)業(ye)(ye))受業(ye)(ye)主委托,按照合同約定,代表業(ye)(ye)主對工程(cheng)(cheng)項目(mu)(mu)的組織實施進行全過程(cheng)(cheng)或(huo)若干階(jie)段的管(guan)(guan)理和服務。

(二(er))工(gong)程(cheng)項目(mu)管理(li)企(qi)業不直接(jie)與該工(gong)程(cheng)項目(mu)的(de)(de)總(zong)承(cheng)包企(qi)業或(huo)勘察(cha)、設計、供貨、施(shi)工(gong)等(deng)企(qi)業簽(qian)訂(ding)合同,但可(ke)以按合同約定,協(xie)助業主(zhu)與工(gong)程(cheng)項目(mu)的(de)(de)總(zong)承(cheng)包企(qi)業或(huo)勘察(cha)、設計、供貨、施(shi)工(gong)等(deng)企(qi)業簽(qian)訂(ding)合同,并受業主(zhu)委托監督合同的(de)(de)履行。

(三(san))工(gong)程項目(mu)管(guan)理的具體方(fang)式(shi)及(ji)服務內容(rong)、權限、取費和責任等,由業主(zhu)與工(gong)程項目(mu)管(guan)理企業在合同中約定。工(gong)程項目(mu)管(guan)理主(zhu)要有如(ru)下(xia)方(fang)式(shi):

1、項目管理服務(PM)

項(xiang)(xiang)(xiang)目(mu)管(guan)(guan)(guan)理(li)服(fu)務是指工(gong)程(cheng)項(xiang)(xiang)(xiang)目(mu)管(guan)(guan)(guan)理(li)企(qi)業(ye)按(an)(an)照(zhao)合同約定,在(zai)工(gong)程(cheng)項(xiang)(xiang)(xiang)目(mu)決策階段,為業(ye)主編制(zhi)可行性研究報告(gao),進行可行性分析和(he)(he)項(xiang)(xiang)(xiang)目(mu)策劃;在(zai)工(gong)程(cheng)項(xiang)(xiang)(xiang)目(mu)實施(shi)階段,為業(ye)主提供招標代理(li)、設(she)計管(guan)(guan)(guan)理(li)、采購管(guan)(guan)(guan)理(li)、施(shi)工(gong)管(guan)(guan)(guan)理(li)和(he)(he)試(shi)運行(竣工(gong)驗收)等(deng)服(fu)務,代表業(ye)主對工(gong)程(cheng)項(xiang)(xiang)(xiang)目(mu)進行質(zhi)量、安(an)全、進度、費(fei)用、合同、信息等(deng)管(guan)(guan)(guan)理(li)和(he)(he)控(kong)制(zhi)。工(gong)程(cheng)項(xiang)(xiang)(xiang)目(mu)管(guan)(guan)(guan)理(li)企(qi)業(ye)一般應(ying)(ying)按(an)(an)照(zhao)合同約定承擔相應(ying)(ying)的管(guan)(guan)(guan)理(li)責(ze)任。

2、項目管理承包(bao)(PMC)

項(xiang)目管(guan)(guan)(guan)理(li)(li)承(cheng)包(bao)是指工(gong)(gong)程項(xiang)目管(guan)(guan)(guan)理(li)(li)企業按照合同(tong)約定(ding)(ding)(ding),除完(wan)成(cheng)項(xiang)目管(guan)(guan)(guan)理(li)(li)服務(PM)的(de)(de)(de)全部工(gong)(gong)作內容外,還可以負責完(wan)成(cheng)合同(tong)約定(ding)(ding)(ding)的(de)(de)(de)工(gong)(gong)程初步設(she)計(基礎(chu)工(gong)(gong)程設(she)計)等工(gong)(gong)作。對于需要完(wan)成(cheng)工(gong)(gong)程初步設(she)計(基礎(chu)工(gong)(gong)程設(she)計)工(gong)(gong)作的(de)(de)(de)工(gong)(gong)程項(xiang)目管(guan)(guan)(guan)理(li)(li)企業,應當(dang)具有相應的(de)(de)(de)工(gong)(gong)程設(she)計資質。項(xiang)目管(guan)(guan)(guan)理(li)(li)承(cheng)包(bao)企業一(yi)般應當(dang)按照合同(tong)約定(ding)(ding)(ding)承(cheng)擔一(yi)定(ding)(ding)(ding)的(de)(de)(de)管(guan)(guan)(guan)理(li)(li)風(feng)險和經(jing)濟責任(ren)。

根(gen)據(ju)工(gong)程項目的不同規模、類型和(he)業主要求,還可(ke)采用其他項目管(guan)理(li)方式。

四、進(jin)一步推行(xing)工程總承(cheng)包和(he)工程項目管理的(de)措施(shi)

(一(yi))鼓勵具(ju)有工(gong)(gong)程(cheng)(cheng)(cheng)勘察(cha)、設(she)計(ji)或(huo)施(shi)工(gong)(gong)總承包資(zi)(zi)質(zhi)的勘察(cha)、設(she)計(ji)和施(shi)工(gong)(gong)企業(ye),通過改造和重組,建(jian)立與工(gong)(gong)程(cheng)(cheng)(cheng)總承包業(ye)務(wu)相適(shi)應的組織機構、項目(mu)(mu)管(guan)理(li)(li)體系,充(chong)實項目(mu)(mu)管(guan)理(li)(li)專業(ye)人(ren)員(yuan),提(ti)高融資(zi)(zi)能力,發展成為具(ju)有設(she)計(ji)、采購、施(shi)工(gong)(gong)(施(shi)工(gong)(gong)管(guan)理(li)(li))綜合功(gong)能的工(gong)(gong)程(cheng)(cheng)(cheng)公司,在(zai)其(qi)勘察(cha)、設(she)計(ji)或(huo)施(shi)工(gong)(gong)總承包資(zi)(zi)質(zhi)等級許(xu)可(ke)的工(gong)(gong)程(cheng)(cheng)(cheng)項目(mu)(mu)范圍內開展工(gong)(gong)程(cheng)(cheng)(cheng)總承包業(ye)務(wu)。

工程勘察(cha)、設計、施工企(qi)業也可以組成聯合體對(dui)工程項目進行(xing)聯合總承(cheng)包。

(二)鼓勵具有工程勘察、設計、施工、監理資(zi)(zi)質(zhi)的(de)企業(ye)(ye),通過建(jian)立與工程項(xiang)目(mu)管(guan)理業(ye)(ye)務相適應的(de)組織機構、項(xiang)目(mu)管(guan)理體系,充實項(xiang)目(mu)管(guan)理專業(ye)(ye)人(ren)員(yuan),按照(zhao)有關資(zi)(zi)質(zhi)管(guan)理規(gui)定(ding)在其資(zi)(zi)質(zhi)等(deng)級許可的(de)工程項(xiang)目(mu)范圍內開展相應的(de)工程項(xiang)目(mu)管(guan)理業(ye)(ye)務。

(三)打破(po)行業界(jie)限(xian),允(yun)許工程勘(kan)察、設計、施工、監理等企(qi)業,按照(zhao)有關規定申請取(qu)得(de)其他相(xiang)應資質。

(四(si))工(gong)程總承包企業(ye)可以接受業(ye)主委托,按照(zhao)合同約定承擔(dan)工(gong)程項(xiang)目管理(li)(li)(li)業(ye)務,但不(bu)應在(zai)同一(yi)個工(gong)程項(xiang)目上同時承擔(dan)工(gong)程總承包和工(gong)程項(xiang)目管理(li)(li)(li)業(ye)務,也不(bu)應與(yu)承擔(dan)工(gong)程總承包或者工(gong)程項(xiang)目管理(li)(li)(li)業(ye)務的另一(yi)方企業(ye)有隸屬(shu)關系或者其他利害關系。

(五(wu))對于依(yi)(yi)法必須(xu)實行(xing)(xing)監理(li)(li)的(de)工程(cheng)項(xiang)目(mu),具(ju)有相(xiang)應(ying)監理(li)(li)資質的(de)工程(cheng)項(xiang)目(mu)管(guan)(guan)理(li)(li)企業(ye)(ye)受(shou)(shou)業(ye)(ye)主(zhu)委(wei)(wei)托進(jin)行(xing)(xing)項(xiang)目(mu)管(guan)(guan)理(li)(li),業(ye)(ye)主(zhu)可不再另行(xing)(xing)委(wei)(wei)托工程(cheng)監理(li)(li),該工程(cheng)項(xiang)目(mu)管(guan)(guan)理(li)(li)企業(ye)(ye)依(yi)(yi)法行(xing)(xing)使(shi)監理(li)(li)權利,承擔監理(li)(li)責任;沒有相(xiang)應(ying)監理(li)(li)資質的(de)工程(cheng)項(xiang)目(mu)管(guan)(guan)理(li)(li)企業(ye)(ye)受(shou)(shou)業(ye)(ye)主(zhu)委(wei)(wei)托進(jin)行(xing)(xing)項(xiang)目(mu)管(guan)(guan)理(li)(li),業(ye)(ye)主(zhu)應(ying)當委(wei)(wei)托監理(li)(li)。

(六)各級建設行政主管(guan)(guan)部(bu)(bu)門要加(jia)強與有(you)關(guan)部(bu)(bu)門的協調,認真貫徹(che)《國(guo)務院辦公(gong)廳轉發外經貿部(bu)(bu)等部(bu)(bu)門關(guan)于大力發展對外承包工(gong)(gong)程(cheng)意見的通知》(國(guo)辦發[2000]32號(hao))精(jing)神,使有(you)關(guan)融資、擔保、稅收等方面(mian)的政策落(luo)實到(dao)重點(dian)扶(fu)持發展的工(gong)(gong)程(cheng)總承包企業和工(gong)(gong)程(cheng)項(xiang)目管(guan)(guan)理企業,增強其國(guo)際競爭實力,積極開拓國(guo)際市場。

鼓勵大型(xing)(xing)設計(ji)、施工(gong)、監理等(deng)企(qi)業與(yu)國(guo)際(ji)大型(xing)(xing)工(gong)程(cheng)公司(si)以合資或合作的方式,組建(jian)國(guo)際(ji)型(xing)(xing)工(gong)程(cheng)公司(si)或項目管理公司(si),參(can)加(jia)國(guo)際(ji)競爭。

(七)提倡具備條件的建(jian)設項目,采用工程(cheng)總承包、工程(cheng)項目管理方式組(zu)織建(jian)設。

鼓勵有投融資(zi)能力的(de)工程(cheng)(cheng)總承包企業,對(dui)具備條件的(de)工程(cheng)(cheng)項目,根據業主的(de)要求,按照(zhao)建(jian)設—轉讓(BT)、建(jian)設—經營(ying)—轉讓(BOT)、建(jian)設—擁(yong)有—經營(ying)(BOO)、建(jian)設—擁(yong)有—經營(ying)—轉讓(BOOT)等方式組織實施。

(八)充分發揮行(xing)業(ye)協會和高等院(yuan)校的作用,進一(yi)步開展工(gong)(gong)(gong)(gong)程(cheng)(cheng)總承包和工(gong)(gong)(gong)(gong)程(cheng)(cheng)項目(mu)管理的專業(ye)培(pei)訓,培(pei)養工(gong)(gong)(gong)(gong)程(cheng)(cheng)總承包和工(gong)(gong)(gong)(gong)程(cheng)(cheng)項目(mu)管理的專業(ye)人才(cai),適應(ying)國(guo)內(nei)外工(gong)(gong)(gong)(gong)程(cheng)(cheng)建(jian)設的市場需要(yao)。

有條件的(de)行業(ye)協(xie)會(hui)、高等院校和(he)企業(ye)等,要加強對工(gong)程總(zong)承包和(he)工(gong)程項(xiang)目(mu)管理的(de)理論研究,開(kai)發工(gong)程項(xiang)目(mu)管理軟件,促進(jin)我國工(gong)程總(zong)承包和(he)工(gong)程項(xiang)目(mu)管理水平的(de)提高。

(九(jiu))本指導意見自印發(fa)之日(ri)起實施。1992年11月(yue)17日(ri)建設(she)部頒(ban)布的《設(she)計單(dan)位進行工程總(zong)承包資格(ge)管理的有關規定》(建設(she)[1992]805號)同時廢止。
